1. Acceptance of Terms

By accessing or using our marketplace platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Platform. These Terms apply to all users, including buyers, sellers, and visitors.

2. Platform Description

Our Platform is an online marketplace that connects vendors with customers for the sale of products and services. We facilitate transactions but are not a party to the actual sale agreements between vendors and customers.

3. User Accounts

To use certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating your account.

4. Vendor Obligations

Vendors must comply with all applicable laws and regulations. You must accurately describe your products/services, maintain adequate inventory, fulfill orders promptly, and provide customer support. All products must meet quality standards and safety requirements.

5. Customer Obligations

Customers must provide accurate information for orders, make payments as agreed, and comply with vendor policies. You are responsible for reviewing product descriptions and vendor terms before making purchases.

6. Prohibited Activities

Users may not engage in fraudulent activities, sell prohibited items, violate intellectual property rights, spam other users, or attempt to circumvent Platform security measures. Violation of these terms may result in account suspension or termination.

7. Payment Terms

All payments are processed through our secure payment system. Vendors will receive payments according to our payment schedule, minus applicable fees. Customers are responsible for all charges incurred on their accounts.

8. Fees and Charges

The Platform charges transaction fees, listing fees, and other service fees as outlined in our fee schedule. Fees are subject to change with 30 days' notice. All fees are non-refundable unless otherwise specified.

9. Intellectual Property

The Platform and its content are protected by intellectual property rights. Users retain ownership of their content but grant us a license to use it for Platform operations. Users must not infringe on others' intellectual property rights.

10. Privacy and Data Protection

We collect and process personal data in accordance with our Privacy Policy and applicable data protection laws. By using the Platform, you consent to our data processing practices as described in our Privacy Policy.

11. Dispute Resolution

We provide mediation services for disputes between users. For unresolved disputes, binding arbitration will be conducted under Bangladesh Arbitration Act 2001. Legal proceedings must be filed in the courts of Dhaka, Bangladesh.

12. Limitation of Liability

Our liability is limited to the maximum extent permitted by law. We are not responsible for indirect, incidental, or consequential damages. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

13. Termination

Either party may terminate their account at any time. We may suspend or terminate accounts for violation of these Terms. Upon termination, your access to the Platform will cease, but certain provisions will survive termination.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance of new Terms.
